The Corporation approved that the officer will be Wang Yi Yun on February 12, 2020, the acting spokesperson, and will be responsible for corporate governance-related matters.

Officer Wang Yi Yun meets the qualification of having more than 3 years of working experience in a supervisory position in a public company's legal, compliance, internal audit, finance, stock affairs or corporate governance-related affairs department.

Scope of Authority 

The main duties include handling matters related to the meetings of the Board of Directors and shareholders in accordance with the law, preparing minutes of the meetings of the Board of Directors and shareholders, assisting directors in taking office and continuing education, providing directors with information required for performing their duties and assisting directors in complying with laws and regulations, etc., to protect the interests of shareholders and strengthen the functions of the Board of Directors.

Key Responsibilities of Corporate Governance Execution:

  • Handling matters related to Board of Directors and Shareholders’ Meetings in accordance with relevant laws and regulations.
  • Preparing minutes for Board of Directors and Shareholders’ Meetings.
  • Assisting directors with onboarding and continuing education.
  • Providing necessary information for directors to perform their duties.
  • Supporting directors in legal and regulatory compliance.
  • Reporting to the Board on the qualification review results of independent directors during nomination, appointment, and throughout their term, in accordance with relevant laws and regulations.
  • Managing matters related to changes in directorship.
  • Executing other tasks as stipulated in the Articles of Incorporation or contractual agreements
